Photo Gift Lab (Jolliance LLC) – Terms of Service

These Terms of Service (“Terms”) govern your use of (i) the website located at https://photogiftlab.com (the “Site”) operated and owned by Jolliance LLC (dba Photo Gift Lab) (“Company,” “us,” “we,” or “our”), (ii) any online services made available via the Site (“Online Services”) and (iii) products made available via the Site (“Products”). The Site, Online Services and Products are collectively called the “Services.”

IMPORTANT NOTICE REGARDING ARBITRATION FOR U.S. CUSTOMERS: WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND COMPANY THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 14 “DISPUTE RESOLUTION” BELOW FOR DETAILS REGARDING ARBITRATION.

1. Agreement to Terms

Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Services. By accessing and using our Services, you agree to be bound by these Terms. If you don’t agree, do not access or use the Services.

2. Privacy Policy

Please review the Privacy Notice for information on how we collect, use and share personal information.

3. Changes to these Terms

We may update the Terms from time to time at our sole discretion. If we do, we’ll let you know by posting the updated Terms on the Site and/or by other communications. It’s important that you review the Terms whenever we update them or you use the Services. Continued use after posting constitutes acceptance.

4. General

(a) Eligibility; Your Account. You may use the Services only if you are 18 years or older and capable of forming a binding contract with Company. If under 18, a parent or guardian must read and accept these Terms on your behalf. You are responsible for providing accurate account information, safeguarding your password, and all activity under your account.

(b) License to Use the Services. Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑sublicensable, non‑transferable, revocable right to access and use the Services for personal, non‑commercial use.

(c) Prohibited Conduct. You may not use the Services other than as permitted. Without limitation, you will not: copy or modify content; use the Services commercially; reverse engineer our technology; interfere with the Services; impersonate others; scrape or harvest data; infringe third‑party rights; violate any law; or interfere with others’ use of the Services.

5. Terms of Sale

(a) Product Descriptions. We strive for accuracy but errors may occur. We reserve the right to correct errors and to cancel orders impacted by such errors.

(b) Ordering. By placing an order, you offer to purchase under these Terms. We accept by sending an Order Confirmation email, which specifies products, price, and estimated shipment date.

(c) Shipping and Delivery.
(i) We ship to the address you provide. Title and risk pass to you upon delivery to the carrier.
(ii) Shipment dates are estimates. We are not liable for delays. If products arrive damaged or incomplete, please contact us at info@photogiftlab.com.

(d) Returns. All sales are subject to our shipping and return policies. We monitor for abuse and may limit returns. Refunds are at our sole discretion.

(e) Pricing and Payment Terms. Prices and available products may change at any time. Prices are in USD, exclusive of taxes and shipping. You authorize us (or our payment processor) to charge your chosen payment method. All payments are non‑refundable except as expressly provided in these Terms and our return policy. We may cancel orders for any lawful reason and refund amounts paid.

6. Reviews, Comments, Communications and Other Content

(a) User Content. You may post reviews and other content (“User Content”) so long as it does not violate third‑party rights or laws.

(b) Permissions to Your User Content. By posting User Content, you grant Company a non‑exclusive, transferable, worldwide, royalty‑free license to use, copy, modify, and display your User Content in connection with the Services.

(c) Your Responsibility for User Content. You warrant that you have all rights necessary to grant the above license and that your User Content does not violate any law or third‑party rights.

(d) Removal of User Content. We are not obligated to monitor User Content but may remove any content at our sole discretion.

7. Intellectual Property

(a) Intellectual Property Rights. All content on the Site (text, graphics, logos, software, etc.) is Company IP, owned or licensed by us. You may not use it without permission.

(b) Reservation of Rights. We reserve all rights not expressly granted in these Terms.

8. Links to Third‑Party Websites or Resources

The Services may contain links to third‑party sites. We provide those links for convenience only and are not responsible for their content or practices.

9. Termination

We may suspend or terminate your access to the Services at any time, without notice. You may cancel your account by emailing info@photogiftlab.com. Surviving provisions include Sections 4(c), 5(e), 6, 7, 9–15.

10. Warranty Disclaimers

THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

11. Indemnity

You will indemnify and hold Company and its affiliates harmless from any claims arising out of your use of the Services, your User Content, or your violation of these Terms.

12. Limitation of Liability

(a) To the maximum extent permitted by law, neither Company nor its providers will be liable for any indirect, incidental, special, consequential, or punitive damages.
(b) Our total liability for any claim will not exceed the amount you paid for the product or $50, whichever is greater.

13. Governing Law and Forum Choice

These Terms are governed by the laws of the State of Wyoming, without regard to conflict‑of‑law rules.

14. Dispute Resolution

Informal Resolution. Before filing a claim, you agree to try to resolve disputes by emailing  info@photogiftlab.com and working in good faith.

Arbitration. Except for small claims or IP disputes, any dispute will be resolved by individual binding arbitration under the Federal Arbitration Act. To opt out of arbitration, email  info@photogiftlab.com within 30 days of first using the Services.

15. General Terms

Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement.
Severability. If any provision is invalid, the remainder remains in effect.
Force Majeure. We are not liable for delays caused by events beyond our control (e.g. natural disasters, strikes).
